Welcome to Netxsites.com By accessing this Website, purchasing any packages, or using our services in
any form, you agree to be bound by the following Terms and Conditions. These Terms are designed in
accordance with the applicable laws of the United Arab Emirates, including Federal Decree-Law No. 45 of
2021 (PDPL).

1. Legal Agreement
These Terms constitute a legally binding agreement between Netxsites (“we”, “us”, “our”) and the Client
(“you”, “your”). If you do not agree to any part of these terms, please do not proceed with any services or
payments.

2. Package Enrollment = Agreement
By enrolling in any of our service packages, making a payment (in part or full), or communicating acceptance
via email, WhatsApp, or any other method, you automatically agree to all clauses of these Terms, even if a
formal agreement is not separately signed.

3. Services Offered
Netxsites provides the following services:
– Custom Website Design & Development
– WordPress, WooCommerce, Shopify, and Custom CMS Solutions
– UI/UX Design for Web & Mobile
– eCommerce Store Development
– Logo Design and Branding
– Digital Forms, CRM, and WhatsApp Integration
– Basic SEO Optimization
– Hosting, Domain Setup, SSL Integration
– Google Analytics & Facebook Pixel Setup
– Technical Maintenance and Security (for subscribed clients)

4. Scope of Work and Limitations
Each service package comes with a clearly defined scope, outlined in the proposal or invoice. Any additional
tasks or requests beyond that scope (including additional pages, integrations, third-party tools, content
writing, SEO campaigns, etc.) will incur additional charges.

5. Mockups and Revisions Policy
– We provide up to five (5) design mockups per project. These may include homepage, inner pages, or mobile
versions.
– Up to three (3) rounds of revisions are included. Additional revisions are chargeable.
– Design mockups are provided in Figma or similar tools and must be approved before development begins.
– If the client delays feedback or approval beyond 7 days, we may proceed with the current version or put the
project on hold.

6. Design Ownership and Usage Rights
– All custom designs are the property of Netxsites until full payment is received.
– After full payment, exclusive rights to the approved final designs are transferred to the client.
– Netxsites retains the right to display completed work in its portfolio or marketing channels unless the client
requests NDA in writing.
– Source files (e.g., PSD, Figma, Illustrator) are not included by default and may incur an extra fee if
requested.

7. Client Responsibilities
The client agrees to:
– Provide complete and accurate content, images, and legal information
– Respond to queries and feedback within 48 hours
– Designate one point-of-contact for approvals and changes
– Ensure all content is copyright-cleared and legal
– Make payments on time as per the agreed milestones

8. Single Point of Contact
The client must assign one (1) single point of contact for all communication related to the project. Netxsites
will only accept feedback, approvals, and changes from this authorized individual. If communication comes
from multiple individuals or conflicting instructions are given, Netxsites reserves the right to pause the project
until clarity is established. No changes will be executed unless formally communicated by the designated
point of contact.

9. Client Inactivity / Non-Response
If the Client fails to respond, provide required content, approvals, or feedback for a continuous period of 14 calendar days, despite follow-up reminders via email, WhatsApp, or other official communication channels, the project will be marked as inactive.

If no response is received within 30 calendar days from the date of inactivity notice: The project will be considered closed All payments made will remain non-refundable Any remaining work will be deemed completed as-is Netxsites will have no obligation to continue or resume the project Reactivation of a closed project, if approved, will be treated as a new project and may require: Revised timelines

Additional charges: Updated scope and pricing Netxsites reserves the full right to reallocate resources and close projects affected by prolonged client inactivity.

10. Payments, Refunds & Delivery
– All payments must be made in AED (UAE Dirhams) or other agreed currency
– A minimum of 50% advance is required to start the project
– Final delivery or launch will only occur after 100% payment
– All payments are non-refundable
– Refunds are not provided for delays caused by client-side issues or change of project direction
– We reserve the right to withhold access, credentials, or files for unpaid or partially paid invoices

11. Third-Party Tools and Services
– Netxsites is not responsible for third-party failures, price changes, or limitations
– Licensing costs for premium plugins, domains, or APIs are borne by the client
– If a third-party service becomes obsolete, the client may need to pay for alternatives

12. Hosting, Domains & Maintenance
– Domain registration and renewal are the client’s responsibility
– Hosting must be provided by the client or purchased from Netxsites
– Free hosting (if included) is limited to 1 year only
– After launch, Netxsites is not responsible for hosting issues unless a maintenance contract is signed

13. Post-Launch Support
– 15 days of free technical support (bug fixes only)
– Changes, edits, backups, and patches require a paid maintenance plan
– Unauthorized changes void our responsibility

14. Suspension & Termination
Netxsites may suspend or terminate services for:
– Non-payment or delayed payments beyond 15 days
– Misuse or abusive communication
– Request for illegal or inappropriate content
– Repeated scope changes without approval

15. Confidentiality
All shared data and information will be kept confidential and only accessed by authorized team members,
unless disclosure is required by law.

16. Privacy & Data Protection
We comply with UAE’s PDPL. We ensure secure handling of customer data and do not sell or misuse client
information.

17. Limitation of Liability Netxsites is not liable for:
– Loss of revenue, data, or business disruption
– Bugs or failures in third-party tools
– Unauthorized modifications made by the client
Total liability shall not exceed the amount paid for the service.

18. Force Majeure
We are not responsible for delays due to natural disasters, internet issues, war, pandemics, or government
restrictions.

19. Governing Law & Jurisdiction
These Terms are governed by UAE law. All disputes will be resolved under the jurisdiction of Dubai courts.

20. Changes to These Terms
We may update these Terms at any time. Continued use of our services implies acceptance of the changes
